Terms of Service

1. Our services

Irnivex ("we", "us") provides an AI-powered WhatsApp reception and scheduling service for dental clinics and law firms ("Client", "you"). The service includes an AI assistant installed on your business WhatsApp number that answers client messages, escalates conversations to your staff when appropriate, and — depending on your plan — books appointments directly into your connected calendar (Google Calendar / Outlook).

2. Acceptable use

By using the service, you agree to use it lawfully and responsibly. You must also comply at all times with Meta's WhatsApp Business Platform terms, which govern the use of the WhatsApp number the assistant operates on.

• Do not use the service for unlawful, fraudulent, or misleading purposes
• Do not send spam, unsolicited bulk messages, or content that violates WhatsApp's policies
• Do not use the assistant to provide medical, legal, or financial advice — the assistant provides information about your business and schedules appointments; professional advice is given by you and your team
• You are responsible for the accuracy of the business information used to train your assistant
• Do not attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or other clients' data

3. Payments and billing

The service consists of a one-time setup fee and a recurring monthly service fee, confirmed in your proposal or on your demo call. Setup fees are invoiced and payable before installation begins. Monthly fees are invoiced in advance each month and are due upon receipt.

• Monthly service is billed month-to-month; you may cancel at any time before your next billing date
• If a payment fails, we will contact you; service may be suspended after repeated failed payments
• Third-party costs (such as WhatsApp Business Platform conversation fees charged by Meta, or your own AI provider usage) are not included unless your proposal states otherwise
• Setup fees are non-refundable once installation work has started

4. Service availability

We work to keep the service running reliably, but we do not guarantee uninterrupted or error-free operation, and we do not offer a formal service-level agreement (SLA) or service credits. The service depends on third parties — including Meta's WhatsApp Business Platform, your AI provider, calendar providers, and hosting infrastructure — whose availability we do not control. Maintenance windows and third-party outages may temporarily affect the service.

5. Limitation of liability

To the maximum extent permitted by law, Irnivex is not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost clients, or missed appointments arising from the use of or inability to use the service. Our total liability for any claim related to the service is limited to the monthly service fees you paid to us in the three (3) months preceding the claim. The AI assistant may occasionally produce incomplete or inaccurate replies; your staff remains responsible for reviewing and confirming appointment and client information.

6. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only to provide or receive the service. This includes your client conversation data, business information used to train your assistant, and pricing. We will not disclose your information to third parties except to the providers necessary to operate the service, as described in our Privacy Policy. These confidentiality obligations survive termination of the service.

7. Term and termination

The service continues month-to-month until canceled. You may cancel at any time with written notice to info@irnivex.com; the service remains active until the end of the current paid month, and no further monthly fees will be charged. We may suspend or terminate the service if you breach these terms, fail to pay, or use the service in a way that endangers our infrastructure or other clients. Upon termination, we will disconnect the assistant from your WhatsApp number and, at your request, delete your data in accordance with our Privacy Policy.

8. Governing law

These terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. The parties agree that the state and federal courts located in Skagit County, Washington shall have exclusive jurisdiction over any dispute arising from these terms or the service.

9. Changes to these terms

We may update these terms from time to time. The "Last updated" date above reflects the most recent revision. Material changes will be communicated to active clients before taking effect.
